Seller and scope
These terms apply to website sales of equipment, parts and accessories by Grain Machinery Manufacturing Corp. (Grainman). An expressly accepted written agreement or quotation governs specific agreed differences. Additional or conflicting customer purchase-order terms require Grainman’s express written acceptance; merely receiving a purchase order is not agreement to those terms. Mandatory law takes priority. Custom manufacturing and government orders may require separate written terms.
Prices and order acceptance
Prices are in U.S. dollars. Taxes, freight, crating and other charges are additional unless expressly included. Quotations are valid for 30 calendar days from issue unless the quotation states another period. Published prices may change for future orders; an accepted order is governed by its agreed price and terms.
An automated order receipt acknowledges submission. Grainman accepts an order by express written acceptance or shipment; beginning custom work after a mutually accepted quote also confirms acceptance. If a pricing, product or availability error prevents acceptance, we will contact you with the corrected information. Any change requires your agreement. If the order is declined or cancelled before acceptance, any payment collected for it will be refunded.
Payment and taxes
Custom-work payment terms are selected by Grainman for the customer and order and stated in the accepted quotation: 100% upfront; 50% deposit with 50% before shipment; or approved credit terms for an established customer. Customers may not select credit terms without approval. Unless another arrangement is expressly approved in writing, new custom-work customers pay 100% upfront. An existing relationship does not automatically create a credit account.
Stock parts and ready-to-ship equipment are prepaid unless approved account terms apply. Built-to-order equipment payment terms are stated in the quote. For custom work, production begins after order acceptance and receipt of required payment or credit approval. Nonrecoverable commitments exceeding the funded deposit require upfront funding or milestones agreed in the quote. Balances are due before shipment unless approved credit terms expressly provide otherwise.
Approved account terms, including any net 30 arrangement, must appear in the accepted order. Overdue balances on approved credit accounts bear a late charge of 1.5% per month, or the maximum rate permitted by applicable law if lower, calculated on the unpaid balance and not compounded. This late charge is stated in the credit terms the customer accepts when credit is extended. Early-payment discounts apply only to existing accounts whose accepted terms include them. Collection terms apply only when expressly agreed. Grainman may suspend unperformed work for overdue agreed payments after written notice, subject to law. Provide exemption or resale documentation before invoicing.
Product selection and custom work
Confirm the model, serial applicability, electrical configuration, quantity and intended requirements before ordering. Ask us for help if compatibility is unclear. Product illustrations may show a representative configuration; the accepted product description and written specifications identify what is supplied. This does not reduce responsibility for an incorrect description or recommendation by Grainman.
Custom manufacturing is performed to the drawings, specifications, revisions and acceptance criteria identified in the written order. Changes to scope, materials or drawings may change price and delivery and require written approval. Customer drawings and confidential information remain subject to the applicable ownership and confidentiality agreements. No special quality, regulatory or certification requirement is accepted unless included in the written agreement.
Shipment and delays
The Shipping Policy and accepted quotation govern packing, delivery arrangements and charges. For commercial shipments, unless a different delivery term is agreed in writing, the default is F.O.B. Grainman’s Miami facility: risk of accidental transit loss passes on proper delivery of conforming goods to the carrier, to the extent permitted by law. Grainman remains responsible for obligations concerning nonconforming goods and rights that cannot lawfully be limited. Title passes as specified in the accepted order or applicable law; this clause does not purport to reserve a security interest.
Estimated dates depend on the stated order prerequisites. If shipment is delayed, we will provide the notices, consent options and refunds required by applicable law. Shipping or price changes to an accepted order require agreement.
Inspection and remedies
Inspect goods promptly and report shortages, errors or damage with supporting records. Do not delay notice of a defect or continue use that could worsen it. Inspection requests do not create an undisclosed short forfeiture deadline. Returns and cancellations follow the Returns Policy. Warranty claims follow the applicable product-specific warranty and law; a 30-day convenience-return window is not a warranty limit.
Equipment and parts changes
Grainman may change components, materials and fabrication methods without notice. Grainman has no obligation to make the same change to, or retrofit, products previously supplied. Any change must still comply with specifications expressly agreed for an accepted order.
Commercial liability and applicable law
For commercial transactions only, to the extent permitted by law, Grainman’s liability for a claim concerning a product is limited to the amount paid for the affected product, and excludes lost profits, lost production and indirect or consequential damages. These limits do not apply to fraud, willful misconduct, gross negligence, liability for personal injury or death where exclusion is prohibited, or any other liability or remedy that cannot lawfully be limited. They do not displace express warranty remedies or a remedy required if a contractual remedy fails of its essential purpose.
Florida law governs to the extent permitted by applicable law, subject to mandatory protections and any separately accepted written contract. No arbitration requirement or exclusive court venue is created by this page. Contact [email protected] or 305-620-2525 with order questions.
Delays beyond reasonable control
Events beyond reasonable control may affect performance. Grainman will notify the customer, mitigate the effect and provide revised timing. This does not excuse required delay notices, statutory cancellation or refunds, or obligations already due. Customer-requested holds or scope changes require written schedule and cost updates.
Policy changes
Published changes apply prospectively. We retain the terms applicable to accepted orders. A separate written agreement is required to change an existing order.
